Proofpoint to Acquire Hornetsecurity for Over $1 Billion

Proofpoint has reached a definitive agreement to acquire Germany-based Hornetsecurity for over $1 billion, with the deal expected to close in the second half of 2025. Hornetsecurity, an AI-powered Microsoft 365 security provider, serves more than 125,000 SMBs via over 12,000 MSPs, generating more than $160 million in annual recurring revenue with over 20% year-over-year growth. The acquisition will expand Proofpoint’s presence in Europe and enhance its human-centric security platform, particularly for Microsoft 365 users. Proofpoint CEO Sumit Dhawan emphasized the strategic value of Hornetsecurity’s MSP-focused platform and partner program, which will complement Proofpoint’s enterprise strengths. Hornetsecurity’s founder and management will remain in place post-acquisition. The combined company aims to set new standards in email and cloud security amid growing cyber threats and industry consolidation.
