Multiple Takeover and TR‑1 Disclosures Published
Multiple routine regulatory disclosures were published via the London Stock Exchange RNS under the UK Takeover Code (Rules 8.3/8.5) and as TR‑1/FCA notifications, naming institutional investors and intermediaries including JPMorgan, Janus Henderson, Tudor Capital and BlackRock and relating to issuers such as Petershill Partners, Just Group, Avadel Pharmaceuticals, NCC Group, Greencore and Big Yellow. UK rules require TR‑1 (Notification of Major Holdings) filings to be submitted to the FCA via the Electronic Submission System since 22 March 2021; standard templates require issuer identity, reason for notification, date threshold crossed, total positions, financial instruments, chain of control and proxy details. Recent filings illustrate practical effects of the rules: an RNS showed EJF Investments’ percentage holding rose after a tender offer reduced total voting shares despite EJF not participating, and a Form 8.3 from Dimensional Fund Advisors disclaims beneficial ownership for certain shares while noting voting-discretion constraints. These are regulatory transparency filings under UK and Irish rules rather than announcements of new takeover offers.
