EdgeMode, BlackBerry AIF Merge Plans Create 4.4GW AI Data Center Platform in Europe
EdgeMode and BlackBerry Alternative Investment Fund (BAIF) have signed a Memorandum of Understanding to merge and create a joint entity managing 4.4 gigawatts (GW) of hyperscale-ready AI and high-performance computing data center capacity across Europe, with a focus on renewable-powered infrastructure. The merger will see EdgeMode acquire 100% of BAIF's share capital, with BAIF stakeholders receiving 50% of EdgeMode's outstanding equity, increasing the combined company's asset base by over $140 million. The companies plan to have 1 GW ready to build by the fourth quarter of 2025 and another 1.2 GW targeted for readiness by 2027, leveraging BAIF's 23 development sites and secured pipelines in regions like Spain and Sweden. This strategic partnership aims to accelerate EdgeMode's transformation into a leader in AI data infrastructure and high-performance computing by combining infrastructure expertise, capital access, and established development projects. A 45-day due diligence period is underway to finalize terms, emphasizing shared governance and collaborative project development. Executives from both companies highlighted the merger as a significant step to meet growing demand for AI-driven data centers and to unlock substantial long-term shareholder value.
